China Rare Earth Group is in discussions to acquire Shenghe Resources, the Chinese shareholder with a notable position in US rare earth producer MP Materials Corp., according to a Reuters report carried via Seeking Alpha.

Shenghe Resources, a Chengdu-based rare earth miner and processor, holds an equity stake in MP Materials, whose Mountain Pass operation in California is the only large-scale rare earth mine and processing facility in North America. A purchase of Shenghe by China Rare Earth Group — the state-backed consolidator of much of China’s rare earth industry — would place MP Materials’ minority shareholder under the umbrella of the country’s dominant rare earth champion, adding a layer of geopolitical complexity to an already strategically sensitive supply chain.

The report lands at a moment when rare earths remain central to US-China industrial competition. MP Materials has been expanding beyond mining into refining and magnetics production, aimed at building a Western supply chain for materials used in electric vehicles, wind turbines, and defense applications. Shenghe’s involvement with Mountain Pass has historically been one of the few formal linkages between the US producer and Chinese offtake and processing channels.

Market reaction appeared contained. MP Materials shares traded at $54.56, up 1.44% from the prior close of $53.79, giving the company a market capitalization of roughly $8.45 billion. The stock is listed in the Basic Materials sector within the industrial metals and mining industry grouping.

Neither China Rare Earth Group nor Shenghe Resources has confirmed terms, valuation, or a timeline for a potential transaction, and it remains unclear whether regulatory reviews — in China, the United States, or elsewhere — would accompany a deal given Shenghe’s cross-border holdings.

For MP Materials, the transaction would not directly change ownership of Mountain Pass, since Shenghe holds only a minority interest in the company. Still, investors have historically watched Shenghe-related developments closely because of its role in MP’s offtake arrangements and its position as a gateway between Western rare earth concentrate production and Chinese processing capacity.
